Terms of Service
These Terms govern access to BRDCST and the BRDCST Event Network provided by Black Sands Ventures, Inc., including free operating tools and paid distribution, messaging, media, marketplace, and related services.
1. Agreement and authority
By creating an account or using BRDCST, you agree to these Terms and the Privacy Policy. If you act for an organization, you represent that you have authority to bind it. You are responsible for authorized users, credentials, and activity in your workspace.
2. The BRDCST service
BRDCST provides tools to create and manage campaigns, creative, audiences, Event Pages, distribution plans, calendars, marketplace activity, commercial orders, fulfillment, measurement, and related workflows. Core operating features may be offered without a software subscription; paid charges may apply when you request incremental distribution, messaging delivery, connected publishing, media, creator or publisher services, premium inventory, or other metered/commercial activity.
3. Marketplace Plans, Orders, and fulfillment
A Marketplace Plan is an editable planning scenario and is not a purchase commitment. Forecasts, reach, availability, audience counts, and prices shown while planning may be estimates. Converting a Plan to an Order creates a commercial record of intended products and quantities but does not by itself charge you or guarantee inventory.
Before payment authorization, BRDCST may run a final preflight to refresh current audience eligibility, message segments, destination or seller availability, creator match status, media budgets, required connections, taxes or fees where applicable, and other price inputs. An Order may remain in requirements-pending status until those inputs are resolved.
Paid line items may be captured when the corresponding commercial commitment or execution begins, rather than when the Plan is created. Different line items can have different capture triggers. BRDCST records fulfillment status and receipts where evidence is available.
4. Variable pricing, authorizations, and charges
Usage-based prices can change with the quantity you select or the final billable consumption. Examples include eligible email recipients, SMS recipients and message segments, connected social channels, media budgets, distribution volume, and other metered activity. A fixed recipient quantity is limited to that selected quantity; an “all eligible” instruction can be recalculated during final preflight.
BRDCST will not knowingly exceed an applicable authorization ceiling without additional approval. Payment authorization, capture, refund, settlement, and payout evidence may be supplied by an authorized commerce/payment provider. Taxes and processor or provider charges may apply when disclosed at checkout or preflight.
5. Publishers, creators, sellers, and marketplace inventory
Marketplace sellers may include publishers, creators, service providers, and BRDCST-operated inventory. Seller offers can require availability confirmation, request-to-book acceptance, content approval, publication proof, or other fulfillment evidence. Seller earnings, BRDCST marketplace fees, media allocations, and other economics may be presented separately. Seller payout is subject to completed governed fulfillment, settlement evidence, applicable holds, refunds, disputes, taxes, and payment-provider requirements.
6. Audience, messaging, social, and paid media
You are responsible for having a lawful basis and required consent to use imported or connected contact data and for honoring opt-outs, suppression requirements, and applicable communications rules. Messaging delivery may be priced by eligible recipients, sends, SMS segments, or other provider units. Connected social publishing and paid media can depend on third-party account connections, permissions, platform policies, creative approval, and provider availability.
7. BRDCST Event Pages, Event Network, sponsorships, and advertising
BRDCST may provide a hosted Event Page and structured Event information as part of the operating service. Roll Call Events may be configured automatically from their authoritative Event record; other users may claim and configure a page. Event Pages may later support optional sponsor or advertising inventory. If you opt into monetization, additional program terms, inventory rules, advertiser eligibility, revenue share, reporting, settlement, and payout requirements may apply.
8. Avery and AI-assisted work
Avery can analyze connected context, prepare plans and drafts, make recommendations, and use registered product capabilities within your permissions and approval settings. AI output can be incomplete or wrong. You remain responsible for material decisions, audiences, creative, commercial commitments, and external actions. BRDCST distinguishes proposed or planned work from verified execution where supported.
9. Customer data and content
You retain ownership of content and business data you provide. You grant us a limited license to host, process, transmit, reproduce, and display that data as needed to provide, secure, support, and improve the service. You represent that you have necessary rights and permissions for content, audience data, media, trademarks, event information, and other materials you submit.
10. Third-party services and destinations
BRDCST can interact with payment, email, SMS, social, advertising, analytics, maps, ticketing, publisher, creator, and other third-party systems. Their terms and policies can apply. Availability, indexing, publication, delivery, ad approval, account standing, and external performance can be affected by those providers, and BRDCST does not guarantee an external service will accept or keep an item live.
11. Cancellations, refunds, and disputes
Cancellation and refund eligibility can differ by product, seller, inventory hold, provider cost, fulfillment stage, and applicable law. The applicable Order or offer should identify material rules before authorization where possible. Refunds involving processed payments are executed through the authoritative payment provider. BRDCST may hold settlement or payout while a valid fulfillment or payment dispute is reviewed.
12. Acceptable use
You may not use BRDCST to violate law, infringe rights, send deceptive or unlawful communications, evade consent or suppression requirements, distribute malware, access another workspace without authorization, manipulate marketplace or advertising activity, create fraudulent Events or transactions, or interfere with service security or operation.
13. Intellectual property
BRDCST, Roll Call, Avery, the software, documentation, interfaces, and related trademarks are owned by Black Sands Ventures, Inc. or its licensors. These Terms do not transfer ownership of the platform to you.
14. Suspension and termination
We may restrict access for material breach, nonpayment, security risk, unlawful activity, abusive use, or conduct that creates significant operational or platform risk. Where practical, we may provide notice and an opportunity to address the issue.
15. Disclaimers and limitation of liability
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” TO THE MAXIMUM EXTENT PERMITTED BY LAW. WE DO NOT GUARANTEE PARTICULAR ATTENDANCE, REVENUE, REACH, DELIVERY, INDEXING, CREATOR OR PUBLISHER AVAILABILITY, MEDIA PERFORMANCE, OR ERROR-FREE AI OUTPUT. TO THE MAXIMUM EXTENT PERMITTED BY LAW, BLACK SANDS VENTURES, INC. WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES. OUR AGGREGATE LIABILITY FOR CLAIMS ARISING FROM THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
16. Governing law and changes
These Terms are governed by the laws of the State of Nevada, without regard to conflict-of-law principles, subject to mandatory consumer protections that may apply. We may update these Terms and will post the revised effective date and provide additional notice where required.
